1. Definitions
1.1 In these Terms and Conditions, “Resonics” means Resonics Ltd. “Customer” means the person, firm or company purchasing or agreeing to purchase Goods or Services from Resonics. “Goods” shall mean all acoustic products, materials and equipment supplied by Resonics. “Services” shall mean all consultancy, design, acoustic surveys, testing, installation and any related works provided by Resonics. “Website” means any website, platform or digital service owned or operated by Resonics.
1.2 The placing of an order, acceptance of a quotation, or use of the Website constitutes acceptance of these Terms & Conditions, unless otherwise expressly agreed in writing by Resonics.
2. Goods
2.1 Unless otherwise agreed in writing, Goods supplied will conform with the manufacturer’s current standard specifications at the time of delivery. Resonics reserves the right to supply equivalent or superior products if original specifications are unavailable.
2.2 Minor variations in colour, texture, pattern or appearance may occur due to manufacturing tolerances. Such variations shall not constitute defects or grounds for rejection.
2.3 Where Resonics provides designs, CAD drawings, renderings or product specifications, these remain the intellectual property of Resonics and may not be reproduced or shared without prior written consent.
3. Hire (if applicable)
3.1 If any Goods are provided on hire, the Customer shall remain responsible for all loss or damage to the Goods however caused and must ensure they are suitably insured.
3.2 Lost, stolen or damaged items will be invoiced at replacement value. Late returns will incur daily charges at Resonics’ standard hire rates.
3.3 Resonics accepts no liability for consequential loss arising from the late delivery or failure of hire equipment.
4. Copyright & Intellectual Property
4.1 All drawings, designs, CAD files, specifications and proposals created by Resonics are the copyright and intellectual property of Resonics.
4.2 Customers may not copy, reproduce or distribute such materials without written consent. Intellectual property rights remain with Resonics unless specifically transferred in writing.
5. Delivery, Installation & Risk
5.1 Dates for delivery and/or installation are estimates only. Resonics will make reasonable efforts to meet agreed dates but shall not be liable for any delay.
5.2 Risk in the Goods passes to the Customer upon delivery or installation, whichever occurs first.
5.3 The Customer shall ensure that access, permits, licences, electricity supply and site conditions are in place prior to installation. Delays caused by the Customer may result in additional charges.
5.4 The Customer shall inspect the Goods immediately upon completion and notify Resonics of any defects within 7 days. After this period, Goods and Services shall be deemed accepted.
6. Ownership
6.1 Title to the Goods remains with Resonics until full payment has been received in cleared funds.
6.2 If payment is overdue, Resonics may repossess the Goods and enter premises where they are stored for recovery.
6.3 Until ownership passes, the Customer shall hold Goods as bailee and keep them insured against loss or damage
7. Price & Payment
7.1 Unless otherwise agreed, Resonics’ standard payment terms are: Projects: 50% deposit payable on order, balance 50% due on completion. Supply-only Goods: 100% upfront.
7.2 All invoices are due within 30 days of the date of invoice unless stated otherwise.
7.3 Prices are exclusive of VAT and other applicable taxes unless expressly stated.
7.4 Resonics reserves the right to claim interest, compensation and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.
7.5 If instructed to proceed based on a quotation, the Customer agrees that Resonics’ payment terms take precedence over any conflicting Customer terms
8. Cancellations & Delays
8.1 Goods cancelled by the Customer are chargeable in full.
8.2 If Services are delayed by the Customer, the following charges will apply: More than 10 working days’ notice: no charge. 5–10 working days’ notice: 25% of invoice value. 3–5 working days’ notice: 50% of invoice value. Less than 3 working days’ notice: 100% of invoice value. On the day of delivery/installation: 100% of invoice value plus any travel or accommodation costs.
8.3 Resonics reserves the right to suspend or cancel work if payment is overdue or the Customer is insolvent.
9. Warranty & Liability
9.1 Manufacturer warranties apply to all Goods. Resonics will repair or replace defective Goods where reported within 7 days of delivery or completion, provided misuse or improper installation is not the cause.
9.2 Resonics shall not be liable for indirect, consequential, financial or reputational loss, including loss of profit or business opportunity.
9.3 Liability shall not exceed the value of the invoice for the Goods or Services giving rise to the claim.
9.4 Claims must be made within 12 months of the relevant invoice date.
10. Health & Safety
10.1 Resonics undertakes all works in compliance with UK health and safety legislation.
10.2 Our teams include trained and certified staff, including IPAF, CSCS, SSSTS and SMSTS qualifications.
10.3 Resonics holds ISO 14001, Constructionline Platinum, CHAS and SafeContractor accreditations, reflecting our commitment to quality and safe practice.
11. Force Majeure
11.1 Resonics shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to strikes, accidents, fire, flooding, pandemics, transport delays, material shortages, or government action.
11.2 Time for performance shall be extended by a period equivalent to the delay caused by such events.
12. Notices
12.1 All notices shall be in writing and may be sent by post, hand delivery or email.
12.2 Notices sent by first-class post shall be deemed delivered after 48 hours; email notices shall be deemed delivered when sent unless returned undelivered.
13. Governing Law & Disputes
13.1 These Terms & Conditions are governed by the laws of England & Wales.
13.2 Both parties agree to the exclusive jurisdiction of the English courts.
13.3 Before commencing legal action, the parties shall act in good faith to resolve disputes amicably.
14. Severability
14.1 If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15. Indemnity
15.1 The Customer shall indemnify and hold harmless Resonics against all third-party claims, costs or damages arising from misuse of Goods, breach of these Terms or negligence on the part of the Customer.
16. Quotations & Important Notes
16.1 All prices exclude VAT at the prevailing rate.
16.2 Working hours are Monday–Friday 08:00–18:00 unless otherwise stated. Work outside these hours may be charged additionally.
16.3 Unless specified, quotations exclude structural penetrations, alterations or making good.
16.4 Quantities include waste allowances and are approximate. No remeasurement unless agreed.
16.5 Partial acceptance of a quotation may alter pricing.
16.6 Continuous access is required for installation works. Aborted visits or site delays may incur charges.
16.7 Orders are not subject to retention or main contractor discount unless expressly agreed.
16.8 Quotations are valid for 30 days unless otherwise stated.
16.9 Errors & Omissions Excepted (E&OE;). Customers must verify all details prior to placing an order.
17. Entire Agreement
17.1 These Terms & Conditions, together with any written quotation or agreement issued by Resonics, constitute the entire agreement between the parties and supersede any prior discussions or terms.
